In these Terms and Conditions, unless the context otherwise requires:
• “Provider” refers to MAY & COMPANY GmbH.
• “Customer” refers exclusively to a business client (entrepreneur) within the meaning of Section 14 BGB.
• “Services” refers to the digital content provided by the Provider, especially online courses.
• “Contract” means the legally binding agreement between the Provider and the Customer resulting from a completed order.
• Words in the singular include the plural and vice versa.
These Terms apply exclusively to B2B transactions. Use by consumers within the meaning of Section 13 BGB is excluded.
Use of this website is restricted to individuals over the age of 18 acting on behalf of a business.
The Services are subject to availability. Prices may be updated without prior notice. The Provider makes every reasonable effort to ensure accurate descriptions and pricing.
Orders are binding once confirmed by the Provider. Services are deemed provided once access to the digital content is granted.
6.1 Ownership of Content
All materials, including but not limited to videos, texts, graphics, course structures, trademarks, and branding elements made available via the Services, are the exclusive intellectual property of MAY & COMPANY GmbH or its licensors.
6.2 License Grant
Upon full payment, the Customer is granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for internal business training and educational purposes.
6.3 Restrictions
The Customer agrees not to:
• Share, resell, sublicense, or otherwise make the content available to third parties;
• Circumvent or remove any copyright notices, DRM protections, or usage limitations embedded in the content;
• Use the Services in any manner that could damage the reputation or intellectual property of MAY & COMPANY GmbH or third parties.
6.4 Third-Party Intellectual Property
Some elements of the Services may contain content licensed from third parties. All such content remains the intellectual property of the respective rights holders.
6.5 Enforcement
MAY & COMPANY GmbH reserves the right to take legal action in the event of infringement.
Users must not post or transmit unlawful, abusive, or inappropriate content via the website. Misuse may lead to account suspension.
Creating an account requires accurate and truthful information. Users are responsible for maintaining the confidentiality of their credentials.
The Customer or the Provider may terminate an account at any time. The Provider reserves the right to terminate without giving reasons. Pending services may be cancelled if not yet rendered.
All amounts are payable net plus VAT. Supported payment methods include Stripe, PayPal, Klarna, Google Pay, and Apple Pay.
Cancellations are only possible before access is granted. After access to the Service has been provided, no refunds will be made.

No guarantees are given regarding uninterrupted access or learning outcomes. All content is provided “as is”.
Downtime for maintenance or technical issues may occur. No liability is assumed for outages.
The Provider is only liable for intent or gross negligence. Liability for indirect or consequential damages is excluded.
Failure to enforce any provision shall not constitute a waiver of that or any other provision.
These Terms override all previous versions.
These Terms grant no enforceable rights to third parties.
Official communication must be made via email to support@cultureup.academy. Notifications are deemed delivered after two business days.
These Terms shall be governed by the laws of the Federal Republic of Germany, excluding the CISG. Exclusive jurisdiction is Berlin, Germany.
